Welcome to Roomora Enterprises ("we," "our," or "us"). These Terms and Conditions constitute a legally binding agreement made between you—whether personally or on behalf of an entity ("Customer," "Client," or "User")—and Roomora Enterprises, concerning your access to and use of https://roomoraenterprises.co.ke/, as well as any related commercial quotations, supply contracts, deliveries, or institutional fitout services.
Binding Acceptance: By browsing our website, placing an order through our WooCommerce store, requesting an official proforma invoice, or issuing a Local Purchase Order (LPO), you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions.
1. Catalog Information & Product Descriptions
- Product Imagery & Finishes: We strive to display fabric colors, wood grains, and metal finishes as accurately as possible. Slight color variations may occur due to photography lighting, monitor displays, or raw material batch runs (e.g., solid timber grains or melamine veneer shifts).
- Technical Changes: We reserve the right to modify structural dimensions, caster specifications, or frame coatings to reflect ongoing product engineering improvements without prior notice, provided the functional utility and ergonomic rating meet or exceed the original specifications.
2. Quotations, Pricing & Order Acceptance
- Currency & Taxes: All standard prices published on our digital catalog are quoted in Kenyan Shillings (KES). Commercial proformas and quotes will explicitly itemize Value Added Tax (VAT) in full compliance with Kenya Revenue Authority (KRA) regulations.
- Validity of Quotations: Official proforma invoices and tender bids issued by our sales desk remain valid for 30 calendar days from the date of issue, unless otherwise stated in writing.
- Right of Refusal: We reserve the right to cancel or decline an order in the event of obvious typographical pricing errors or unexpected inventory exhaustion. In such cases, any payments received will be refunded in full.
3. Payment Terms & Title of Goods
- Online Retail Checkout: Web orders must be settled in full at checkout via verified electronic channels, including Safaricom M-PESA, debit/credit cards, or direct bank wire transfer.
- Corporate & Institutional Contracts (LPO/B2B): Commercial fitouts, custom builds, and volume orders of 20+ units typically require a commitment deposit (e.g., 50% to 70%) upon contract confirmation, with the balance due upon delivery inspection or within agreed credit terms (subject to formal credit evaluation).
- Retention of Title: All goods remain the exclusive property of Roomora Enterprises until paid for in full. We reserve the right to repossess goods if balance payments default under negotiated credit terms.
4. Delivery, Shipping & Site Access
Our logistics operations align directly with our official Shipping & Delivery Policy:
- Standard Flat Rate: General e-commerce orders qualify for flat-rate delivery of KES 2,000 within Kenya, dispatched within 1 to 5 business days.
- Corporate Site Readiness: For commercial furniture deliveries within Nairobi (Westlands, Upper Hill, CBD, Karen, etc.) and regional centers, the client is responsible for ensuring unobstructed vehicular access, functional freight elevators, or cleared stairwells, as well as securing building management security entry passes prior to offloading.
- Risk of Loss: Risk passes to the customer once goods are delivered and the physical delivery note or carrier manifest is signed at the specified delivery address.
5. On-Site Assembly & Inspections
- Installation Scope: Where on-site assembly is included in your contract, Roomora technicians assemble, align, and position the furniture as instructed on the approved layout plan. Electrical and data plug cabling into walls/floors remains the responsibility of your licensed electrical contractor.
- Mandatory Inspection: The client or an authorized representative must inspect all units immediately upon assembly or delivery. Signing the delivery note signifies satisfaction with structural condition and cosmetic finish.
6. Returns, Cancellations & Remorse
Returns are governed by our standalone Refund and Returns Policy:
- Retail customers hold a 30-calendar-day return window on standard stock items in unused, original condition with zero restocking fees.
- Custom & Contract Orders: Custom-upholstered sanctuary seating, bespoke boardroom tables, and custom-cut partition workstations are non-cancellable and non-refundable once production or fabric cutting begins.
- Defective Items: Factory flaws or verified transit damages reported within 48 hours are repaired, replaced, or refunded at no freight cost to the customer.
7. Commercial Warranty & Limitations
- Warranty Coverage: Our commercial task chairs, executive seating, and steel storage carry a 12 to 24-month structural warranty covering mechanical failure of gas lifts, synchro-tilt mechanisms, steel welds, and structural casters.
- Exclusions: Warranties do not cover regular surface wear and tear, tears to mesh/leather due to sharp objects, chemical spills, unauthorized self-repairs, exposure to open outdoor weather (unless rated for outdoor use), or weight loads exceeding specified capacities.
8. Intellectual Property & Limitation of Liability
- Content Ownership: All graphic catalogs, photography, website styling, text guides, and digital brand assets are the exclusive intellectual property of Roomora Enterprises and protected under Kenyan copyright legislation.
- Limitation of Consequential Damages: To the maximum extent permitted by Kenyan law, Roomora Enterprises shall not be liable for indirect, incidental, or consequential damages (including loss of business profits, administrative downtime, or third-party venue booking losses) arising from minor delivery delays or product use. Our maximum aggregate liability is strictly limited to the actual purchase price paid for the affected goods.
9. Dispute Resolution & Governing Law
These Terms and Conditions are governed by and construed in accordance with the Laws of Kenya. Any dispute or claim arising from a commercial contract or order that cannot be resolved amicably within thirty (30) days of formal notification shall be referred to arbitration in Nairobi, Kenya, in accordance with the provisions of the Arbitration Act, 1995 (as amended), or submitted to the competent courts of the Republic of Kenya.
